HOMEOffice E-commerce Agreement and Terms of Sales – May 1,2023

Welcome to the HOMEOffice Community and E-commerce Sales Team. This agreement governs all our website and internet presentations and posts. HOMEOffice Complete LLC is a corporation formed under the laws of the Commonwealth of Massachusetts, USA.

We are happy to invite you to join the HOMEOffice E-commerce Community where we share the highest product values, performance, and product integrity. We recommend our product because we believe in the quality of craftsmanship our product represents. We want to share our values with other people who would benefit from using our product to help them achieve better health, better performance and the highest quality and creativity in the work they perform.

If you desire to join our E-commerce Community, you acknowledge and agree that you will recommend HOMEOffice Complete Products because you truly believe in what they represent. You stand behind what you recommend as your personal choice.

Our goal is to not only support each other in our vision of product quality and performance but to also share our products commercial success. We want to extend a reward for your honest and sincere recommendation of our Product to your own Community.

HOMEOffice Complete Website is relevant to this agreement and its context is to present the information regarding product general description, pricing, discount structure, E-commerce Agreement, company privacy statement, and product General Warranty.

1. HOMEOffice Complete E-commerce Representative
By accepting to be part of our HOMEOffice E-commerce Community you agree to take the position of E-commerce Representative. HOMEOffice E-commerce Representative is an independent third-party contractor of HOMEOffice and is not otherwise affiliated with HOMEOffice. HOMEOffice is not responsible or liable for the statements, acts, or omissions of E-commerce Representatives, whether through or in connection with the HOMEOffice website. E-commerce Representative is not an employee of HOMEOffice Complete LLC, and it is a completely independent party.

In taking the position and activities as HOMEOffice E-commerce Representative you acknowledge and agree that HOMEOffice has no control over, and is not responsible or liable for, any text, images, or other information or materials posted by you in relation to activities you are taking to promote HOMEOffice Product to people you are reaching to and connecting that are part of your network of friends, followers, or contacts.

2. HOMEOffice Website Use
HOMEOffice Complete Website is exclusive ownership of HOMEOffice, and it is exclusively managed and owned by HOMEOffice Complete LLC. In your position as HOMEOffice E-commerce Representative, you understand and agree that HOMEOffice has exclusive rights of all the posted products, text, images, and descriptions including patent Rights and Copyrights. None of the material on the HOMEOffice Website may be copied, reproduced, distributed, republished, uploaded, displayed, posted, or transmitted in any way and form whatsoever.

Subject to your compliance with this Agreement, you have special permission from HOMEOffice to use the HOMEOffice Website. You may download a copy of any material for your personal use in the position of the E-commerce Representative in reaching to your perceived customers and creating recommendations of our product and creating HOMEOffice Product Sales.

You agree not to make any modification of the materials, or use of the materials for any other purpose. Any misrepresentations different to the material expressed on the HOMEOffice Website relevant to the product, in any way, is not permitted and is a violation of HOMEOffice Complete copyright and other proprietary rights.

3. Independent Contractors
E-commerce Representative is an independent contractor and not an employee, agent, or affiliate of HOMEOffice Complete. This Agreement does not create any partnership or joint venture between the parties. HOMEOffice Complete is interested only in the results obtained by E-commerce Representative, who shall have sole control over the manner of performing services under this Agreement. This Agreement does not grant, and E-commerce Representative shall not exercise, any authority, express or implied, to create or assume any obligation, enter any agreement, make any representation, or warranty, or accept legal process on behalf of HOMEOffice Complete. E-commerce Representative is solely responsible for all expenses incurred in performing its sales activities hereunder. E-commerce Representative shall indemnify and hold HOMEOffice Complete harmless from all compensation, benefits, taxes, claims and liabilities with respect to E-commerce Representative unauthorized activities.

E-commerce Representative acknowledge and agree that you, and not HOMEOffice Complete, are responsible for obtaining and maintaining all your telecommunications, broadband, and computer hardware, equipment, and services needed to conduct your work as HOMEOffice Complete E-commerce Representative. This includes paying all charges related to your work and promotional activities subject of this agreement.

4. Your Information and Privacy Statement
HOMEOffice Complete states that any information we receive is governed with HOMEOffice Privacy Statement.
The information you offer to us and submit to us you represent, warrant, and agree that in regard to your application for E-commerce Representative work is true, accurate and complete, and that you will maintain and update such information as needed. HOMEOffice Complete will keep your personal information confidential and will not be published except with your explicit approval.

As a requirement for working in the capacity of independent E-commerce Representative you need to be at least eighteen (18) years old. The way you present HOMEOffice Complete Product and the information about such product will be as HOME Office is stating on our website. You also agree for HOMEOffice to contact you and inform you in respect to the work you are doing for HOMEOffice as well as engagement to help in promotion, recommendations, and sales of HOMEOffice Complete products.

5. Confidentiality of Received Information
You need to maintain confidentiality and keep safe any information relating to your PERSONAL DISCOUNT CODE which you will receive from HOMEOffice Complete to conduct your E-commerce work successfully and to receive your Commission. We are not liable for any loss or damage arising from your failure to comply with any of the foregoing obligations.

6. Representation
Everybody who is related to HOMEOffice Complete work must respect the law as well as the rights and dignity of others. You agree to comply with all applicable laws, rules, and regulations. Failure to comply with these rules of conduct may result in termination of your work and association with HOMEOffice as your representation of HOMEOffice products.
HOMEOffice Complete does not approve, and you agree not to use, any information or act in a way that may cause criminal or civil liability and may, in any way, encourage conduct that constitutes a violation of law.

You agree not to express any promises and warranties on behalf of HOMEOffice Complete and HOMEOffice product as otherwise stated in HOMEOffice general warranty and product liability stated on the HOMEOffice website.

7. Price and Discounts
The price for the Products is subject to the stated discount as presented on the HOMEOffice Complete Website. The HOMEOffice Price List posted on our website is prevailing. Your Commission will be based and will be calculated on the date the product was sold to a customer in connection with the use of your PERSONAL DISCOUNT CODE.

8. E-commerce Representative Recommendation of HOMEOffice Complete Product
Only if you personally believe in HOMEOffice Products posted on our website, or if you have experienced our product and you believe in our products quality performance and function should you engage in recommending product to your friends, online followers, or people you are reaching to recommend HOMEOffice Complete product.

All purchasing activities MUST be made exclusively through HOMEOffice Complete Website. Any person that is connected to your recommendation and decides to purchase any of our products shall use the PERSONAL DISCOUNT CODE that you will provide them with. The use of your PERSONAL DISCOUNT CODE will give your community a special additional discount of 10% off the stated BUY NOW PRICE. (Please see the list of discounts and commissions stated by the product group).

The Product List Price as well as Buy Now Price is the posted price on our website stated for every product we sell. The Buy Now Price can change from time to time depending on a seasonal discount promotion or as decided exclusively by HOMEOffice Complete Sales and Marketing team.

When purchase of a product is made, HOMEOffice Complete System will record all sales made by individuals using your PERSONAL DISCOUNT CODE and the System will calculate the commission you will earn from every product sold related to the use of your code. Each Sale and your Commission will be recorded and will be added up on a monthly basis. By the 15th of every month, you will receive a statement on all sales activities made by using your PERSONAL DISCOUNT CODE and your will receive your commission check reflecting sales you have created by recommending our product. You will earn your Commission for as long as your recommendations turn into sales of HOMEOffice Complete Products, and such sales are made by using your PERSONAL DISCOUNT CODE.

9. Commission
HOMEOffice Complete shall pay to E-commerce Representative Commission calculated from each product sold to customers who have used your PERSONAL DISCOUNT CODE. Your Commission percentage will be based on the below chart from the stated Buy Now Price reduced by the additional customer discount of 10%. Commission varies depending on product group. ONLY for the small group of products, in the Accessory Products Group which are price sensitive products, your Commission will be calculated at 3%.

For example, if a chair’s List Price is $1,000 and Buy Now Price is $500, the customer using your PERSONAL DISCOUNT CODE will receive an additional discount of 10% or $50.00 off. The final purchase price for the customer will be $450.00. Your commission will be 8% of $450.00 which is $36.00. If ten chairs have been sold, you will receive a commission of $360.00.

10. Product Returns
In case you have received the commission on a product, and later such product is returned by customer, HOMEOffice Complete will deduct Commission made previously to you from a future Commission check payment in your name.

11. PERSONAL DISCOUNT CODE
A PERSONAL DISCOUNT CODE will be given to you upon your accepting and signing this agreement. This code you will give to your friends, associates, or online followers. By using your PERSONAL DISCOUNT CODE buyers will receive an additional 10% off a product posted “Buy Now Price”. The same code will allow HOMEOffice Complete’s System to track your Commissions earned for product sold as the result of your recommendation.

12. Commission Upon Termination
In the event of termination of this agreement, commission will be paid only on orders which have been paid for by the customer using a valid and active PERSONAL DISCOUNT CODE. For purposes of clarification, it is understood between HOMEOffice Complete, termination effective date is five days after mailing of the written notice of termination and deactivation of your PERSONAL DISCOUNT CODE. Any commission earned will be sent to the same mailing address as previous Commissions.

13. Limitation of Liability
In no event shall HOMEOffice Complete LLC, its subsidiaries or affiliates, or any of their representative employees, officers, directors, agents or representatives and suppliers be liable for any indirect, incidental, special or consequential damages arising out of this agreement, and use of HOMEOffice Complete website and HOMEOffice Complete Products except as stated in the HOMEOffice Limited Liability and Product Warranty Statement.

14.  Responsibility
You agree to be fully responsible for your actions in describing HOMEOffice Complete products and you will not misrepresent HOMEOffice Complete products in any way shape or form other than HOMEOffice Complete is stating on its website and within the limit of the product performance, stated product Warranty, and product maintenance statement. HOMEOffice Complete will not offer to any customer any other product performance or product warranty than as expressed about each product on our website and relevant visual product presentations and presented statements.

15. Termination and Enforcement
This Agreement is effective until terminated by HOMEOffice Complete. You agree that HOMEOffice Complete, at its sole discretion, may terminate your access to or use of the HOMEOffice Complete Website, at any time and for any reason, including without limitation if HOMEOffice believes that you have violated or acted inconsistently with the letter or spirit of this Agreement and statements HOMEOffice Complete expresses through our website and our online statements, and advertisement.

16. Agreement to Arbitrate Disputes and Choice of Law
We both agree to Arbitration, You and HOMEOffice Complete, agree to resolve any claims relating to this Agreement through final and binding arbitration, except that, to the extent you have in any manner violated or threatened to violate HOMEOffice intellectual property rights (for example, trademark, trade secret, copyright, or patent rights). Under such circumstances we may bring a lawsuit solely for injunctive relief to stop unauthorized use or abuse of the HOMEOffice Complete Website, or intellectual property infringement without first engaging in arbitration or the informal dispute-resolution process described above.

Authority of Arbitration. The arbitrator will decide the rights and liabilities, if any, of you and HOMEOffice Complete, and the dispute will not be consolidated with any other matters or joined with any other cases or parties. The arbitrator shall have the authority to grant motions relevant to all or part of any claim. The parties waive their constitutional and statutory rights to go to court and have a trial in front of a judge or a jury, instead electing that all claims and disputes shall be resolved by arbitration.
In any circumstances where the Agreement to Arbitrate Disputes permits the parties to litigate in court, this Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, excluding its conflict of law rules.

17. Miscellaneous
This Agreement does not, and shall not be construed to, create any partnership, joint venture, employer-employee, agency, or franchisor-franchisee relationship between you and HOMEOffice Complete. You may not assign, transfer, license, or sublicense any or all your rights or obligations under this Agreement without our express prior consent made in writing and signed by HOME Office Complete Executive Officer.
Upon accepting these terms, and completion of the application, we will send you a confirmation letter with your PERSONAL DISCOUNT CODE.
